NOVEMBER 23, 1999 TWENTIETH MEETING OF THE BOARD OF SUPERVISORS
The Board of Supervisors met on Tuesday, November 23, 1999 at 9:00 A.M. Board members present were Boykin, Clausen and Walish. Batcheller and Welte were absent. Staff members present were Nancy Hodge, Board Administrative Coordinator, Patrick F. Gill, Clerk to the Board, and John Rusch, Board Legal Counsel.

The Claims were approved as presented.

Meeting called to order.

There was open discussion period held by the Board.

Motion by Boykin second by Walish to approve the regular Board Minutes of November 16, 1999 as submitted. Carried 3-0.

The Board approved the separation of Deborah K. Westphal, Election Clerk/Secretary, County Auditor/Recorder, effective 11-29-99. Copy filed.

The Board approved the separation of Richard P. Hustig, Law Librarian, Board Administration, effective 11/12/99. Copy filed.

Motion by Boykin second by Walish to authorize Chairman to sign Authorization to Initiate Hiring Process for an Election Clerk/Secretary, County Auditor/Recorder, AFSCME Courthouse/Grade 4, Step 1: $8.93. Carried 3-0. Copy filed.

Motion by Boykin second by Walish to authorize Chairman to sign the Administrative Agreement Addendum with Wellmark Administrators, Inc. Carried 3-0. Copy filed.

The Public Hearing and sale of Real Estate Parcel #143925 was held at 10:15 A.M. The Chairman called on anyone wishing to be heard on said sale.

Motion by Boykin second by Walish to close the Public Hearing on the sale of Real Estate Parcel #143925 as there was no one present wishing to be heard. Carried 3-0.

Chairman called for bids on Real Estate Parcel #143925. Rusty Derochie bid $1,500.00 plus recording fees. S. & S. Development bid $1,600.00 plus recording fees. Rusty Derochie bid $1,650.00 plus recording fees. S. & S. Development bid $1,800.00 plus recording fees. There were no further bids.

Motion by Boykin second by Walish to accept the offer of $1,800.00 from S & S Development for Real Estate Parcel #143925 plus recording fees. Carried 3-0.

RESOLUTION OF THE BOARD OF SUPERVISORS OF WOODBURY COUNTY, IOWA #9234

BE IT RESOLVED by the Board of Supervisors of Woodbury County, Iowa, that the offer at public auction of: S & S Development (PO Box 2706, Sioux City, IA 51106)

in the sum of ONE THOUSAND EIGHT HUNDRED AND NO/100 ($1,800.00) Dollars for the following described real estate to wit:

Lots Thirty-Two(32) and Thirty-Three (33) and North Eighty-Six (86) Feet of Lots Thirty Four (34) and Thirty-five (35) and South Forty-four (44) Feet of the West Twelve (12) Feet of Lot Thirty-four (34) and North Eighty-Six (86) Feet of Lot Thirty-Six (36), Block One (1), Eden Park Addition, City of Sioux City, Woodbury County, Iowa

now and included in and forming a part of the City of Sioux City, Iowa, the same is hereby accepted; said amount being a sum LESS than the amount of the general taxes, interests, costs and penalties against the said real estate.

BE IT RESOLVED that payment is due by close of business on the day of passage of this resolution or this sale is null and void and this resolution shall be rescinded.

BE IT RESOLVED that per code of Iowa Section 569.8(3 & 4), a parcel the County holds by tax deed shall not be assessed or taxed until transferred and upon transfer of a parcel so acquired gives the purchaser free title as to previously levied or set taxes. Therefore, the County Treasurer is requested to abate any taxes previously levied or set on this parcel(s).

BE IT FURTHER RESOLVED that the Chairman of this Board be and he is hereby authorized to execute a Quitclaim Deed for the said premises to the said purchaser.

The Public Hearing and sale of Real Estate Parcel #311475 was held at 10:16 A.M. The Chairman called on anyone wishing to be heard on said sale.

Motion by Boykin second by Walish to close the Public Hearing on the sale of Real Estate Parcel #311475 as there was no one present wishing to be heard. Carried 3-0.

Chairman called for bids on Real Estate Parcel #311475. George Barkley bid $400.00 plus recording fees. There were no further bids.

Motion by Walish second by Boykin to accept the offer of $400.00 from George Barkley for Real Estate Parcel #311475 plus recording fees. Carried 3-0.

RESOLUTION OF THE BOARD OF SUPERVISORS OF WOODBURY COUNTY, IOWA #9235

BE IT RESOLVED by the Board of Supervisors of Woodbury County, Iowa, that the offer at public auction of George R. and Georgia R. Barkley, husband and wife, as joint tenants with full rights of survivorship and not as tenants in common (3405-41st St. Sioux City, IA 51108:

in the sum of FOUR HUNDRED AND NO/100 ($400.00) Dollars for the following described real estate to wit:

RESOLUTION NO.9236
RESOLUTION CONFIRMING APPOINTMENT OF
HOUSING AUTHORITY COMMISSIONER

WHEREAS, the County of Woodbury, Iowa has previously passed a Resolution appointing Nancy E. Hodge the County of Woodbury, Iowa, as commissioner of the governing body of the Siouxland Regional Housing Authority.

NOW, THEREFORE, BE IT RESOLVED by the County of Woodbury, Iowa, the appointment of Nancy E. Hodge, of the County of Woodbury, Iowa, as authority commissioner to the governing body of the Siouxland Regional Housing Authority is hereby approved, confirmed and ratified for the number of years designated in the Articles of Agreement previously entered into by and between the County of Woodbury, Iowa, and Siouxland Regional Housing Authority.

RESOLUTION NO. 9237

RESOLUTION APPOINTING HOUSING AUTHORITY COMMISSIONER

WHEREAS, the County of Woodbury, Iowa has previously entered into Articles of Agreement with the Siouxland Regional Housing Authority, and

WHEREAS, these Articles provide that the County of Woodbury, Iowa shall be represented upon the governing commission of the Siouxland Regional Housing Authority, and further said Articles provide said County to appoint one authority commissioner to said governing commission.

NOW, THEREFORE, BE IT RESOLVED by the County Board of Supervisors of Woodbury County Iowa, that Nancy E. Hodge of the County of Woodbury, Iowa, be and hereby is appointed as housing authority commissioner to represent the interests of the County of Woodbury, Iowa, upon the Siouxland Regional Housing Authority Commission. Said appointment shall be for the term and under the conditions as provided in the Articles of Agreement previously signed between the County of Woodbury, Iowa, and Siouxland Regional Housing Authority.

The Public Hearing was held at 10:30 A.M. for the Issuance of Bonds for Boys & Girls Home.

Motion by Boykin second by Walish to close the Public Hearing for the Issuance of Bonds for Boys and Girls Home Carried 3-0.

Motion by Walish second by Boykin to authorize the chairman to sign a resolution to proceed with the issuance of bonds for the Boys and Girls Home and Family Services, Inc. Carried 3-0.

RESOLUTION NO. 9238

RESOLUTION DETERMINING TO PROCEED WITH THE ISSUANCE OF COMMUNITY PROVIDER REVENUE BOND ANTICIPATION NOTE (BOYS AND GIRLS HOME AND FAMILY SERVICES, INC. PROJECT) AND COMMUNITY PROVIDER REVENUE BONDS (BOYS AND GIRLS HOME AND FAMILY SERVICES, INC. PROJECT), EACH IN AN AGGREGATE PRINCIPAL AMOUNT NOT TO EXCEED $2,500,000.

WHEREAS, the County of Woodbury, State of Iowa (the Issuer), is a County authorized and empowered by the provisions of Chapter 419 of the Code of Iowa, 1999, as amended (the Act), to issue revenue bonds for the purpose of financing the cost of acquiring, by construction or purchase, land, buildings, improvements and equipment, or any interest therein, suitable for the use of any facility for an organization described in Section 501(c)(3) of the Internal Revenue Code (the Code) which is exempt from federal income tax under Section 501(a) of the Code (a Tax-Exempt Organization) and to refund any bonds issued pursuant to the Act and retire any existing indebtedness of a Tax Exempt Organization; and


WHEREAS, the Issuer has been requested by Boys and Girls Home and Family Services, Inc., a tax exempt organization, (the Borrower) to issue its Community Provider Revenue Bond Anticipation Note (Boys and Girls Home and Family Services, Inc. Project) (the Note) and Community Provider Revenue Bonds (Boys and Girls Home and Family Services, Inc. Project) (the Bonds), each in an aggregate principal amount not to exceed $2,500,000 pursuant to the Act for the purpose of (i) renovating a portion of the Borrowers facilities located at 2101 Court Street, Sioux City, Iowa (the Project), (ii) funding a debt service reserve fund for the Bonds, and (iii) paying for costs of issuance and certain other costs associated with the issuance of the Note and the Bonds; and

WHEREAS, it is proposed to provide interim financing of the Project through the issuance of the Note and to provide permanent financing of the Project through the issuance of the Bonds and to loan the proceeds from the sale of the Note and the Bonds to the Borrower under one or more Loan Agreements (the Loan Agreements) between the Issuer and the Borrower, the obligations of which will be sufficient to pay the principal of, premium, if any, and interest on the Note and the Bonds as and when the same shall be due and payable; and

WHEREAS, the Note and the Bonds, when issued, shall be limited obligations of the Issuer, and shall not constitute nor give rise to a pecuniary liability of the Issuer or a charge against its general credit or taxing powers, and the principal of and interest and premium, if any, on the Note and the Bonds shall be payable solely out of the revenues derived from the aforementioned Loan Agreements or otherwise as provided therein; and

WHEREAS, notice of intention to issue the Note and the Bonds has, as directed by the Board of Supervisors of the Issuer, been duly given in compliance with the Act and Section 147(f) of the Internal Revenue Code; and

WHEREAS, at 10:30 a.m. on November 23, 1999 at the Board of Supervisors Chambers, Woodbury County Courthouse, Sioux City, Iowa (the time and place set for the aforementioned hearing) a public hearing has been held on the proposal to issue the Note and the Bonds and all oral or written objections or other comments relating to the issuance of the Note and the Bonds have been heard, received and considered;

NOW, THEREFORE, Be It Resolved by the Board of Supervisors of Woodbury County, Iowa, as follows:

Section 1. The Issuer hereby determines to proceed with the issuance of the Note and the Bonds.

Section 2. All resolutions or parts thereof in conflict herewith are hereby repealed, to the extent of such conflict.

Section 3. This resolution shall become effective immediately upon its passage and approval.

Jeff Riese of the Tax Research Conference addressed the board about Tax Research Conferences proposal on the consolidation of city-county services.

The Board continued Criminal Justice discussion. The Board decided to drop the December dates for community meetings. The HVAC system is going to require more money than originally anticipated for the conversion of the care facility. There is a proposal being considered to name the facility The Prairie Hills Center.

The Board adjourned the regular meeting until November 30, 1999.
